Terms.

By using Valmont, the website at valmont.app, the waitlist, and the mobile app once available (together, the Service), you agree to these terms. If you don't agree, don't use the Service.

Valmont is operated by Collecta Technologies Limited, a company registered in England and Wales (company number 17022135), with its registered office at 105 Piccadilly, London, W1J 7NJ. See our Privacy Policy for data-protection details.

Valmont is for adults. You must be at least 18 and able to enter into a binding contract in your jurisdiction. The Service opens first in Mayfair, London; availability elsewhere is subject to expansion.

• Requesting to join does not guarantee acceptance. We decide who moves forward, at our sole discretion. Our decisions are final.
• The stages are Recognised, Reviewed, and Seated. We may decline or remove any request at any stage without notice and without giving reasons.
• If we extend you a seat, you will have 48 hours to confirm. If you miss the window, you return to the list.
• Once Seated, you may nominate up to four people. Nominations are personal to you and non-transferable.
• We may remove anyone from the Service for breach of these terms, for suspected fraud, or to protect other users.

Once the mobile app is available:

• You are responsible for keeping your credentials secure and for all activity under your account.
• You may not share, sell, or transfer your account, your invitation, or your nomination slots.
• You may delete your account at any time. Retention after deletion is described in our Privacy Policy.

You may not:

• Use the Service to break the law, including any applicable alcohol-licensing, data-protection, or intellectual-property law in your jurisdiction.
• Scrape, reverse-engineer, or exploit the Service or any API beyond its documented use.
• Submit false, misleading, or stolen identity details, or impersonate another person.
• Harass, threaten, defraud, or deceive other users or restaurants.
• Use the Service to send unsolicited marketing or to build competing products.

The Service, including the Valmont wordmark, "The Nod", the site, the mobile app, the source code, the copy, and all other materials, is owned by Valmont or its licensors and protected by copyright, trademark, and other laws. You receive a limited, non-exclusive, non-transferable, revocable licence to use the Service as intended. No other rights are granted, express or implied.

When you submit content to Valmont, including emails, restaurant names, nominations, photographs of wine lists or bottles, and anything else, you grant us a worldwide, royalty-free, sub-licensable licence to use that content to operate, improve, and promote the Service. You retain ownership of what you submit. You confirm that you have the right to grant that licence and that the content does not infringe anyone else's rights.

The Service is provided on an as-is and as-available basis. To the maximum extent permitted by law, Valmont makes no warranties, express or implied, including as to availability, accuracy, fitness for a particular purpose, non-infringement, or the quality of any wine you may order as a result of using the Service. Taste is yours.

To the maximum extent permitted by English law, Valmont will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, nor for any loss of profits, revenue, data, goodwill, or business opportunity, whether in contract, tort (including negligence), or otherwise.

Our total aggregate liability to you for any claim arising out of or relating to these terms or the Service will not exceed one hundred pounds sterling (£100).

Nothing in these terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or under the UK Consumer Rights Act 2015 for statutory rights that cannot be waived.

We may suspend or end your access to the Service at any time, for any reason, including breach of these terms. Sections of these terms that by their nature should survive (Intellectual property, Content you submit, Disclaimer, Limitation of liability, Governing law, and Contact) will survive termination.

We may update these terms. If changes are material, we will notify waitlist members and account holders by email. Continued use of the Service after the update constitutes acceptance of the new version. The "Last updated" date reflects the current version.

These terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with them will be subject to the exclusive jurisdiction of the courts of England and Wales, unless a mandatory consumer-protection law in your jurisdiction grants you an alternative right you cannot waive.

If any provision of these terms is held to be unenforceable or invalid, the remaining provisions remain in full force and effect.

These terms and the Privacy Policy together form the entire agreement between you and Valmont in relation to the Service and supersede any prior agreement on the same subject.
